CONSTITUTION OF THE PUBLIC INTEREST RESEARCH AND ADVOCACY NETWORK (PIRAN).GHANA.

PREAMBLE.

We the members, patrons, and sponsors of the Public Interest Research and Advocacy Network (PIRAN). Ghana. A civil society advocacy NGO (NON GOVERNMENTAL ORGANIZATION).

IN EXERCISE of our right and liberty to form or join a non governmental organization(NGO) or a civil society group of our choice for the promotion and seeking to protect the public interest of our people in social, economic, religion culture and political discourse of our life’s.

IN OUR DESIRE to build and establish cordial relationship with other non governmental organizations (NGO) and  civil society groups in Ghana and abroad.

IN OUR QUEST to establish a framework, to regulate this research and advocacy civil society group and to secure for ourselves and generation yet unborn a society driven and secured by public interest programme and policies for the good and comfort of our people in Ghana.

DO HEREBY ADOPT AND GIVE TO OURSELVES THIS CONSTITUTION ON THIS DATE. 27/03/2017

PUBLIC INTEREST RESEARCH AND ADVOCACY NETWORK (PIRAN)

CONSTITUTION.

ARTICLE ONE: NAME

The organization shall be known and called Public Interest Research and Advocacy Network and could be code named (PIRAN.GH). It shall be a non-partisan, non-religious, non-sectarian and non-violent.

ARTICLE TWO: AIMS AND OBJECTIVES

The Public Interest Research and Advocacy Network (PIRAN) is aimed at the following:

  1. Promoting and projecting public interest dependant society.

  • Addressing peculiar problems of society in the larger interest of the public.
  1. Serving as a platform to champion the course of the public and pushing for development projects that suit the public interest.
  2. Constituting a support base for the marginalised and the voiceless needs and interests
  3. Upholding the integrity of civil society groups and NGOS’ in Ghana and abroad.
  4. Serving as a source of encouragement the groups and individuals who may want to speak against the ills of society to pursue public interest.

  • Addressing national and international issues when and where necessary.

VISION: it is the hope and aspiration of the group that development of our country and it citizens shall be for the Public Interest.

MISSION: our task shall be to used research and advocacy to champion public interest course.

ARTICLE THREE: MEMBERSHIP

  1. FULL MEMBERSHIP: every person living everywhere who wants to speak against the ills of society and be an advocate for public interest can be a member.
  2. ASSOCIATE MEMBERS:

Ghanaians and any other interest groups and persons who are advocates for public interest can as well be considered as Associate members.

Any person deemed qualifies by the group by his or her interest and contributions to the cause and progress of the Public Interest Research and Advocacy Network (PIRAN). May also be considered as associate members.

The rights and responsibilities of the Associate members     shall be determined by the national executives of the NGO.

  1. CESSATION OF MEMBERSHIP:
    1. Any member of the NGO who misconducts himself or herself to the discredit of the network or the advocacy NGO, shall be expelled and ceased to be a member.
    2. In all disciplinary cases shall lie with the national executives council.

ARTICLE FOUR:

THE STRUCTURE OF THE PIRAN.

1.Chief Executive Officer/Founder:

The Chief Executive Officer shall direct the vision and mission of the organization and shall be responsible for staff recruitment.

  1. Patrons and sponsors:

There shall be patrons and sponsors who shall on their own freewill contribute in cash and kind to cater for the administrative needs of the organization.

3.The National Coordinator:

The National Coordinator shall be in charge of coordinating the activities of the organization across the length and breath of the country and beyond.

  1. The Regional Coordinators:

The Regional Coordinator shall be in charge of activities in the various regions within the country.

ARTICLE FIVE

OFFICERS OF THE ORGANISATION

The organisation shall have the following officers at it national and regional levels. These executives shall function as officers of the Network at the regional and national levels.

The appointed and elected officers shall form the executives at the respective levels.

The National Coordinator.

The Regional Coordinator.

The Secretary.

Treasurer.

Financial Secretary.

Publicity Secretary.

 

At the national level, the Chief Executive Officer (CEO), shall be the PRESIDENT of the organisation, with support from the patrons and sponsors, and the National Secretary, Treasurer, Financial Secretary and the Publicity Secretary shall be in charge of the administrative functions of the organisation.

ARTICLE SIX:

DUTIES OF OFFICERS

  1. THE CHIEF EXECUTIVE OFFICER (CEO) OR THE PRESIDENT: shall perform the following functions:

(i)  Preside over all national Executive meeting and conferences.

(iii) Be the chief spokesman of the organization

(iv) Shall be part of the fund raising team of the organization and also monitor it disbursement and usage.

  1. THE NATIONAL COORDINATOR:

The National  Coordinator shall perform the following functions:

  • Shall coordinate the activities of the regional coordinators.
  • Shall be supervised and monitored by the President.
  • Shall draw the programmes of the organization in consultation with the President.
  • Shall write the annual report for and on behalf of the organization.
  1. THE REGIONAL COORDINATOR(S)

The Regional Coordinator(s) shall perform the following functions:

  • They shall be responsible for overseeing the activities of the organization in their respective regions of operation.
  • They shall report directly to the national coordinator and take instructions and directives from the national

Coordinator.

  1. THE SECRETARY:

The Secretary shall be responsible for:

  • Keeping all records of the organization.
  • Recording of minutes of all meetings.
  • Notifying members of all meetings
  • Attending to all correspondence as may be necessary.

  • Presenting a report on the organization’s work at meetings and conferences.
  1. THE TREASURER:

Shall perform the following duties:

  • Receive all monies of the organization from the financial secretary and keep accurate record of income and expenditure.
  • Pay all bills approved by the President (CEO) and /or the national coordinator.
  • Provide the secretary with an imprest.
  • Write statement of account for auditing.

THE FINANCIAL SECRETARY: Shall perform the following duties:

  • Receive all monies of the organization and pay them to the Treasurer.
  • Keep proper records of all monies collected.
  • Assist the Treasurer in the writing of the statement of account for auditing.
  1. THE PUBLICITY SECRETARY: Shall perform the following duties:

(i) shall be the Media Liaison Officer of the organization with the mandate to issue press statement for and on behalf of the organization.

(ii). Shall be the communication officer of the organization.

(III) Make all necessary arrangements for meetings.

(iv)Assist the Secretary or any officer entrusted with the writing and publication of articles, rejoinders for and on behalf of the ORGANIZATION.

(v). Be an errand boy of the organization and perform any other duty assigned to him by the President or the National Coordinator.

ARTICLE SEVEN:

MEETINGS AND CONFERENCES:

The organization shall have annual meetings and conferences to appraise the work and impact of PIRAN.

STAKEHOLDERS MEETING: there shall be stakeholders meeting in the first working day of the year which will include the sponsors and donors, the President/CEO, the National Coordinator and the Regional Coordinators.

STAKEHOLDERS CONFERENCE: The stakeholders of the organization shall have a conference on the last Friday of the year to appraise the work of the organization and the way forward.

COORDINATORS MEETING: the National Coordinator and the Regional Coordinators will meet on the instructions of the National Coordinators to plan the work of the organization in the various regions.

COORDINATORS CONFERENCE: There shall be coordinators conference convened and chaired by the National Coordinator to appraise the work of PIRAN in the various regions and the nation at large.

 

ARTICLE EIGHT

FINANCE:

INCOME OF THE ORGANIZATION:

The income of the organization shall come from donations and sponsorship from interested individuals, organizations and governments.

  1. DISBURSEMENT OF INCOME
  2. The annual budget for the coming year shall be prepared by the National Coordinator, approved by the CEO and shall be presented to stakeholder’s conference.
  3. Expenses shall be made from the funds raised from donations and sponsorships, and such expenses shall include: travel and hotel allowance, refreshment at meetings, venue and materials for meetings and conferences of the organization, etc…..as may be approved and directed by the President and financiers.
  4. The accounts of the President/CEO, the national coordinator and the regional coordinators shall be audited annually as may be directed by the financiers which shall also appoint auditors.

  1. the income of the organization shall be distributed based on the budget drawn up by the officer concern. And shall be subjected to approval by the National council or the President. The distribution formula shall be based upon the need or the relevance of the subject matter.

ARTICLE NINE

BY LAWS:

  • There shall be bye laws, drawn up as and when necessary, by the stakeholders conference.
  • Such bye laws, shall be ratified at coordinators conference.

ARTICLE TEN

AMENDMENTS:

The constitution and all it bye laws shall be amended at stakeholders conference by two thirds majority of the members present and voting.

ARTICLE TEN

INTERPRETATION:

For the purposes of interpretation of the constitution:

  • “Public” means people in general or all people male of female in a particular country, eg people in Ghana is a public.
  • “Interest” means desire to learn or hear more about a subject.
  • “Research” means work that involves studying something and trying to discover facts about it.

  • “Advocacy” means public actions that condemn a particular programme or actions that affects the public negatively.
  • “Network” mean people living at different locations that have a common working relation or connection on a common goal.
  • “PIRAN” means Public interest research and advocacy network.
